These Terms of Service (“ToS”) govern your use of Smart Site Plan, a cloud-based platform for site planning and data integration, owned and operated by Juno Maps, LLC (“Licensor”). By accessing or using Smart Site Plan, you (“Licensee”) agree to these terms and the Privacy Policy, which together form the complete agreement between you and the Licensor. If you do not agree, do not use the service.
Service Description
Smart Site Plan provides tools for data visualization, including Open Data, Layers, Overlays, Files, Forms, and Shares. It integrates with third-party services like Stripe for payments and ESRI for mapping, using secure cloud infrastructure for data processing and storage. You are responsible for verifying the accuracy of all data, including third-party Open Data sources.
License Grant and Limitations
The Licensor grants you a non-transferable, non-exclusive, worldwide, royalty-free license to access and use Smart Site Plan for your internal business purposes, based on your subscription plan (e.g., 24-hour trial, monthly, or team plans). You may not reverse-engineer, decompile, or misuse the service, including sharing login credentials or using it for unlawful purposes. You must maintain compatible equipment and internet access for optimal use.
Licensee Responsibilities
- Data Verification: You are responsible for verifying the accuracy, completeness, and suitability of all data in Smart Site Plan, including Open Data, Layers, and project-related information.
- Liability for Data Use: The Licensor is not liable for errors or inaccuracies in data, including third-party Open Data. You assume all risks related to data use in decision-making.
- System Requirements: You must ensure your devices, internet service, and configurations are compatible with Smart Site Plan.
- Compliance: You agree to use the service in accordance with these terms and applicable laws.
Payment Terms
- Fees: Subscription fees are due at the start of each term. Invoiced payments are due within 30 days of the invoice date.
- Automatic Renewal and Late Payments: Subscriptions renew automatically unless canceled. Late payments may incur fees or lead to service suspension.
- Taxes: You are responsible for all applicable taxes and duties related to your use of Smart Site Plan.
- Fee Adjustments: The Licensor may adjust fees with at least 30 days’ notice via email or the platform.
Data Rights and Protection
You retain ownership of your project data. Smart Site Plan may use anonymized data to improve the service. Data is encrypted in transit and at rest, with access restricted to authorized team members you add to your project. Shares are publicly viewable unless deactivated or deleted, as described in the Shares article. For details, see the Privacy Policy.
Third-Party Services
Smart Site Plan integrates with third-party services (e.g., Stripe for payments, ESRI for mapping). These services are subject to their own terms and privacy policies, and the Licensor is not responsible for their performance or data handling.
Data Access and Deletion
You may request access, correction, or deletion of your project data in accordance with applicable data protection laws. Upon subscription cancellation, you can export your data before access is revoked, as outlined in the Account article.
Security and Breach Response
The Licensor employs robust security measures, including encryption and regular audits. In case of a security breach, we will investigate, notify affected users as required by law, and take steps to mitigate harm.
Warranty and Liability
- Warranty Disclaimer: Smart Site Plan is provided “as is” without warranties, including merchantability or fitness for a particular purpose, to the fullest extent permitted by law.
- Indemnification: You agree to indemnify the Licensor against claims arising from your breach of these terms or infringement of third-party rights.
- Limitation of Liability: The Licensor’s liability is limited to the fees you paid in the 12 months preceding a claim. The Licensor is not liable for indirect, consequential, or punitive damages.
Termination
The Licensor may terminate this agreement for non-payment, breach of terms, or misuse of the service. Upon termination, access to Smart Site Plan is revoked, but you can export your data beforehand. For details, see the Account article.
Free Trials and Promotions
Free trials, such as Experience Smart Site Plan, and promotional offers are subject to these ToS and may have restrictions (e.g., limited queries, default basemap). These may convert to paid subscriptions unless canceled. Terms will be provided at signup.
Amendments and Severability
- Amendments: The Licensor may update these ToS with notice via email or the platform. Continued use after changes constitutes acceptance.
- Severability: If any provision is invalid, the remaining terms remain in effect.
- Nonwaiver: Failure to enforce a term does not waive future enforcement.
Governing Law
These ToS are governed by the laws of the State of Maryland, without regard to conflict of law principles.
Entire Agreement
These ToS, along with the Privacy Policy, constitute the entire agreement between you and the Licensor regarding Smart Site Plan.
